Company's Board of Directors held a meeting in absentia on September
7, 2020 to address dividend distribution for 2019 as well as issues
related to the Annual General Meeting of Shareholders (AGM) which
will be held on September 30, 2020.

The Board of Directors has recommended to the AGM

The Board of Directors recommended the AGM to
approve dividend in the amount of RUB 0.03568039 per share and
recommended dividend record day – October 10, 2020. According to
PJSC RusHydro’s Dividiend Policy, the dividend distribution is
calculated as the average of dividends paid over the previous three
years.

PriceWaterhouse Coopers Audit as the auditor of PJSC RusHydro’s
financial accounting statements.

approve new edition of the following internal documents of PJSC
RusHydro:
- Articles of Association;
- Regulations on convening and holding general
meetings of shareholders;
- Regulations on convening and holding meetings of
the Board of Directors;
- Remuneration of the members of the Audit
Committee;
- Remuneration of the members of the Board of
Directors.

The Board of Directors took into consideration the
information on evaluation independence of members of the Board of
Directors, candidates to the Board of Directors at the AGM, Maksim
Bystrov and Vyacheslav Pivovarov with the criteria specified in the
listing rules of the PJSC Moscow Exchange and determined them as
independent.
