The JSC “Territorial Generating Company # 2” (TGC-2) Annual General Shareholders Meeting took place on May 22, 2008 in the form of a simultaneous attendance. Meeting quorum constituted 86,45% of total amount of voices, which the shareholders, included in the list of authorized participants, had of the agenda questions.

The agenda included the following questions:
1. About approvement the Annual Report and the Accounting Balance of the Company, including Company’s profit and losses statement.
2. About distribution of profit, including dividend payment, according to the results of financial year 2007.
3. About election of new Board of Directors of the Company.
4. About election of the Company’s Revision Commission.
5. About approvement of the Company’s auditor.
6. About introduction of changes and additional points into Charter of the Company.
7. About reward and compensation payments to members of the Board.
8. About reward and compensation payments to members of the Revision Commission.
9. About dividend payment (announcement) according to the results of the first quarter of year 2008.

In the Annual Report the Company’s Director General Andrey Vagner underlined the past year to be determinative in the Company’s activity because the formation of its target structure was completed, the Development Strategy and Investment Program were worked out and approved. There were also for TGC-2 shareholders the speeches of First Deputy General Director for economy and finance of TGC-2 - Marina Kopyova and Deputy General Director for Development and Corporate Governance of TGC-2- Valery Ermakov.
