On December 24, 2002 Far East Telecommunications Company (Dalsvyaz) is scheduled to hold an extraordinary shareholders meeting.
Agenda issues include appointing the director general of the company and determining the length of his term, electing the Board of Directors, the Audit Committee, approving the revised versions of the company charter, as well as the Rules and Regulations for Holding General Shareholders Meetings, the Board of Directors and the Board of Management of the Company.
So far 20 nominations have been made for the Board of Directors of OJSC Dalsvyaz, of which 11 representatives are from Svyazinvest, including interim director general of the company, Igor Zabolotny.
It should be noted that seven Far East telecom companies merged to form OJSC Dalsvyaz within the framework of the nation-wide consolidation process initiated by OJSC Svyazinvest holding.
The following telecom operators were delisted from the State Register of Legal Entities: OJSC Kamchatsvyazinform, OJSC Magadansvyazinform, OJSC Sakhalinsvyaz, OJSC Amursvyaz, OJSC Elektrosvyaz Khabarovsk Territory, and OJSC Telephone and Telegraph Company of the Jewish Autonomous Region. These companies have become the Kamchatka, Magadan, Sakhalin, Amur, Khabarovsk and Jewish Autonomous Region branches of OJSC Dalsvyaz.
Securities owned by the shareholders of the merged entities have been swapped into shares of OJSC Dalsvyaz, the issue of which was registered by the Federal Securities Committee of the Russian Federation on June 30, 2002.
