Moscow, July 1, 2008 - On June 27, 2008, OAO RBC Information Systems (RTS, MICEX: RBCI) held the annual general meeting (AGM). The shareholders voted on five issues on the agenda, such as the approval of the company's annual report and financial statements, including the income statement (profit and loss accounts), and the distribution of profits and losses for the reporting financial year of 2007; the appointment of the company's auditors; and the election of RBC's Audit and Compliance Committee and Board of Directors.
As a result, the shareholders approved the company's annual report and financial statements in accordance with Russian accounting standards (RAS), and resolved not to pay out dividends for 2007. The audit firm KPMG Limited was approved as the auditor of the company's financial statements in accordance with IFRS, and Online Audit LLC was endorsed to conduct the audit in accordance with RAS.
In addition, the shareholders re-elected the members of RBC's Audit and Compliance Committee and Board of Directors. Therefore, the make-up of the Audit and Compliance Committee remained unchanged, comprising Tatyana Yurovskykh, Tatyana Knyazeva and Elena Ashitko. Furthermore, nine members were re-elected to the Board of Directors, including German Kaplun, Alexander Morgulchik, Dmitry Belik, Yury Rovensky, Artyom Inutin, Sergei Lukin, Hans-Joerg Rudloff, Neil Osborn and Michael Hammond. Thus, the composition of the Board of Directors and the Audit and Compliance Committee has not changed as compared to the previous year.
