Moscow, 7 October 2005. The Federal Service for Financial Markets (FSFM) of Russia registered on 6 October 2005 the prospectuses of the companies spun off from OAO "Chelyabenergo", OAO "Arkhenergo", OAO "Nizhnovenergo", OAO "Oryolenergo", OAO "Rostovenergo" and OAO "Mosenergo".
The regulator registered the prospectuses of share issues of OAO "Chelyabenergosbyt", OAO "Arkhangelsk Retail Company", OAO "Nizhny Novgorod Retail Company", OAO "Oryol Retail Company", OAO "Energosbyt Rostovenergo" and OAO "TPP-24" ("GRES-24") distributed among the shareholders of the companies reorganized through spin-off.
1. OAO "Chelyabenergosbyt"
- 4,647,386,854 uncertificated registered ordinary shares, par value RUB0.007 per share, for a total value of RUB32,531,707.978. The state registration number assigned to the share issue is 1-01-55059-?;
- 859,219,416 uncertificated registered preferred shares, par value RUB0.007 per share, for a total value of RUB6,014,535.912. The state registration number assigned to the share issue is 2-01-55059-?.
2. OAO "Arkhangelsk Retail Company"
- 1,715,146,860 uncertificated registered preferred shares, par value RUB0.05 per share, for a total value of RUB85,757,343. The state registration number assigned to the share issue is 1-01-65125-D.
- 351,787,200 uncertificated registered preferred shares, par value RUB0.05 per share, for a total value of RUB17,589,360. The state registration number assigned to the share issue is 2-01-65125-D.
3. OAO "Nizhny Novgorod Retail Company"
- 3,919,400 uncertificated registered preferred shares, par value RUB11.88 per share, for a total value of RUB46,562,472. The state registration number assigned to the share issue is 1-01-55072-?.
- 1,063,512 uncertificated registered preferred shares, par value RUB11.88 per share, for a total value of RUB12,634,522.56. The state registration number assigned to the share issue is 2-01-55072-?.
4. OAO "Oryol Retail Company"
- 192,549,316 uncertificated registered preferred shares, par value RUB0.00055 per share, for a total value of RUB105,902.1238. The state registration number assigned to the share issue is 1-01-65122-D.
- 44,588,520 uncertificated registered preferred shares, par value RUB0.00055 per share, for a total value of RUB24,523.686. The state registration number assigned to the share issue is 2-01-65122-D.
5. OAO "Energosbyt Rostovenergo"
- 3,128,764,676 uncertificated registered ordinary shares, par value RUB0.02 per share, for a total value of RUB62,575,293.52. The state registration number assigned to the share issue is 1-01-50095-?.
- 925,737,256 uncertificated registered preferred shares, par value RUB0.02 per share, for a total value of RUB18,514,745.12. The state registration number assigned to the share issue is 2-01-50095-?.
6. OAO "TPP-24"
- 28,249,359,700 uncertificated registered ordinary shares, par value RUB0.02 per share, for a total value of RUB564,987,194. The state registration number assigned to the share issue is 1-01-65108-D.
The above companies completed their state registration on 31 January 2005, 1 April 2005, 1 April 2005, 1 April 2005, 11 January 2005, and 1 April 2005, respectively. The companies' share issues were registered with the FSFM on 29 March 2005, 30 June 2005, 26 May 2005, 21 June 2005, 10 March 2005, May 24, 2005.

Information for the attention of stock market participants:
Shares in the spin-off companies have been distributed among the shareholders of the company reorganized through spin-off.
Shareholders in the reorganized regional energo are entitled to receive, for each share of the class (type) held by them, shares of the same class (type) in each of the newly established companies, at a ratio determined in the resolution on the reorganization.
The date on which the shares in the spin-off companies are placed is the date of state registration of the companies established as a result of regional energos' reorganization. The new shares are to be credited to the securityholder accounts with registrars and to the securities safekeeping accounts with securities depositories in accordance with the records in the share register of the regional energo as at such date.
The new shares are to be credited to the securityholder accounts by the Registrar maintaining the share registers of the newly established companies.
