Moscow. July 13, 2006. Altaienergosbyt was registered by the Inspectorate of the Federal Taxation Service of the Russian Federation for the Oktyabrsky District of Barnaul.

Pursuant to the Resolution "On the Establishment of Altaienergosbyt" of RAO UES of Russia, Director General of Altaienergo Yury Kasyanov was appointed as Director General of the new company.

The Board of Directors of Altaienergosbyt includes Director General of Altaienergosbyt Yury Kasyanov, Deputy Head of the Altai Territory Administration Sergey Loktev, Deputy Head of the Directorate for Operating Management of RAO UESR Business Unit No. 2 Yury Lubchich, Deputy Head of Division of the Directorate for Economic Planning and Financial Control of RAO UESR Business Unit Yuliya Knestryapina, Analyst of the Center for Implementation of AO-Energo Restructuring Projects of the RAO UESR Reform Management Center Tatiana Gromova, Head of Division of the Department for Corporate Governance and Interaction with Shareholders of the RAO UESR Corporate Center Nikolay Grishayev, and Leading Expert of the Department for Corporate Governance of RAO UESR Business Unit No. 2 Yuliya Rakitina.

The decision to establish Altaienergosbyt under the Altaienergo restructuring procedure was approved by the RAO UESR Management Board on December 23, 2005. The sales business of Altaienergo will be split-off for this Company.

The sole founder of the Company's with an authorized capital of 30 million rubles is RAO UES of Russia.

Later, after the acquisition by Altaienergosbyt of Altaienergo's sales assets, it is planned that the shares owned by RAO UES of Russia in Altaienergosbyt will be disposed in favor of shareholders of Altaienergo at the price to be determined by an independent appraiser. In this connection, every shareholder of Altaienergo will be able to acquire Altaienergosbyt shares from RAO UES of Russia in quantity proportionate to such shareholder's share of in the authorized capital of Altaienergo.
