Moscow. 14 June 2006. The Federal Service for Financial Markets (FSFM) of Russia on 13 June 2006 registered the report on placement of additional ordinary shares in OAO "WGC-4". The new shares were exchanged for shares in the regional generation companies the power plants merging with and into OAO "TGC-4", i.e. OAO "Shaturskaya TPP-5", OAO "Surgutskaya TPP-2", OAO "Berezovskaya TPP-2", OAO "Yaivinskaya TPP", and OAO "Smolenskaya TPP".

According to the resolutions authorizing the share issuance, the following amounts of WGC-4 shares were issued:

• 5,465,903,047 shares, par value RUB1 per share, for a total value of RUB5,465,903,047. The state registration number assigned to the share issue is 1-01-65104-D-001D;
• 30,660,356,241 shares, par value RUB1 per share, for a total value of RUB30,660,356,241. The state registration number assigned to the share issue is 1-01-65104-D-002D;
• 16 shares, par value RUB1 per share, for a total value of RUB16. The state registration number assigned to the share issue is 1-01-65104-D-003D;
• 3,271,295,372 shares, par value RUB1 per share, for a total value of RUB3,271,295.372. The state registration number assigned to the share issue is 1-01-65104-D-004D;
• 1,132,877,841 shares, par value RUB1 per share, for a total value of RUB1,132,877,841. The state registration number assigned to the share issue is 1-01-65104-D-005D;
• 3,510,036,448 shares, par value RUB1 per share, for a total value of RUB3,510,036,448. The state registration number assigned to the share issue is 1-01-65104-D-006D;
• 972,269,335 shares, par value RUB1 per share, for a total value of RUB972,269,335. The state registration number assigned to the share issue is 1-01-65104-D-007D.

The resolution to increase the authorized capital of OAO "WGC-4" for the purpose of TPP merger with and into WGC-4 was taken on 23 December 2005 by the Board of Directors of RAO "UES of Russia" performing the functions of EGM of OAO "WGC-4".

It is planned to complete the merger of OAO "Shaturskaya TPP-5", OAO "Surgutskaya TPP-2", OAO "Berezovskaya TPP-2", OAO "Yaivinskaya TPP", and OAO "Smolenskaya TPP" with and into OAO "WGC-4" and convert the power plants' shares for shares in WGC-4 on 1 July 2006.

The FSFM also registered the prospectus of the initial issue of ordinary shares in OAO "WGC-4" of 3 May 2005. According to the resolution authorizing the share issuance, OAO "WGC-4" issued a total of 8,210,830,760 ordinary shares, par value RUB1 per share. The state registration number assigned to the share issue is 1-01-65104-D.

The trading in WGC-4 shares on RTS and ZAO MICEX Stock Exchange is expected to start in Q3 2006.
