Moscow, 21 October 2005. The Federal Service for Financial Markets (FSFM) of Russia registered on 20 October 2005 the prospectuses of companies spun off from OAO "Permenergo" and OAO "Penzaenergo".
The regulator registered the prospectuses of share issues of OAO "Permenergospetsremont" and OAO "Penza Energy Repair Company" distributed among the shareholders of the companies reorganized through spin-off.
1. OAO "Permenergospetsremont"
- 36,210,960 uncertificated registered ordinary shares, par value RUB2.70 per share, for a total value of RUB97,769,592. The state registration number assigned to the share issue is 1-01-65120-D;
- 11,353,500 uncertificated registered preferred shares, par value RUB2.70 per share, for a total value of RUB30,654,450. The state registration number assigned to the share issue is 2-01-65120-D.
2. OAO "Penza Energy Repair Company"
- 142,199,904 uncertificated registered ordinary shares, par value RUB0.17 per share, for a total value of RUB24,173,983.68. The state registration number assigned to the share issue is 1-01-55040-E.
- 32,520,096 uncertificated registered preferred shares, par value RUB0.17 per share, for a total value of RUB5,528,416.32. The state registration number assigned to the share issue is 2-01-55040-E.

Information for the attention of stock market participants:
Shares in the spin-off companies have been distributed among the shareholders of the company reorganized through spin-off.
Shareholders in the reorganized regional energo are entitled to receive, for each share of the class (type) held by them, shares of the same class (type) in each of the newly established companies, at a ratio determined in the resolution on the reorganization.
The date on which the shares in the spin-off companies are placed is the date of state registration of the companies established as a result of regional energos' reorganization. The new shares are to be credited to the securityholder accounts with registrars and to the securities safekeeping accounts with securities depositories in accordance with the records in the share register of the regional energo as at such date.
The new shares are to be credited to the securityholder accounts by the Registrar maintaining the share registers of the newly established companies.
