Moscow, 27 September 2005. The Federal Service for Financial Markets (FSFM) of Russia registered prospectuses of OAO Stavropol Electricity Generation Company spun off from OAO "Stavropolenergo".
The regulator registered prospectuses of ordinary shares and Type A preferred shares of OAO "Stavropol Electricity Generation Company" distributed among the shareholders of the company reorganized through spin-off (OAO "Stavropolenergo").

- 859,074,636 uncertificated registered preferred shares, par value RUB0.56 per share, for a total value of RUB481,081,796.16. The state registration number assigned to the share issue is 1-01-50118-A.
- 262,100,364 uncertificated registered preferred shares, par value RUB0.56 per share, for a total value of RUB146,776,203.84. The state registration number assigned to the share issue is 2-01-50118-?.
The above Company completed its state registration on 1 April 2005. The share issues of the Company were registered with the FSFM on 2 June 2005.

Shares in the spin-off companies have been distributed among the shareholders of the company reorganized through spin-off.
Shareholders in the reorganized regional energo are entitled to receive, for each share of the class (type) held by them, shares of the same class (type) in each of the newly established companies, at a ratio determined in the resolution on the reorganization.
The date on which the shares in the spin-off companies are placed is the date of state registration of the companies established as a result of regional energos' reorganization. The new shares are to be credited to the securityholder accounts with registrars and to the securities safekeeping accounts with securities depositories in accordance with the records in the share register of the regional energo as at such date.
The new shares are to be credited to the securityholder accounts by the Registrar maintaining the share registers of the newly established companies.
