The Federal Service for Financial Markets (FSFM) of Russia registered prospectuses of the companies spun off as a result of the reorganization of OAO "Udmurtenergo", OAO "Belgorodenergo", OAO "Kostromaenergo", OAO "Chelyabenergo", OAO "Smolenskenergo", and OAO "Lipetskenergo".
The regulator registered the prospectuses of the issues of uncertificated registered ordinary shares and uncertificated registered Type A preferred shares of ??? "Udmurt Territorial Generation Company", ??? "Udmurt Energy Retail Company", ??? "Belgorod Retail Company", ??? "Kostroma Generation Company", ??? "Kostroma Retail Company", ??? "Chelyabinsk Generation Company", and OAO "Smolensk Generation Company", and the prospectus of the issue of uncertificated registered ordinary shares of ??? "Lipetsk Energy Retail Company", distributed among the shareholders of the energy companies (regional energos) reorganized through spin-off.
1. OAO "Udmurt Territorial Generation Company"
- 167,566,476 uncertificated registered preferred shares, par value RUB12.40 per share, for a total value of RUB2,077,824,302.4. The state registration number assigned to the share issue is 1-01-65084-D.
- 21,854,448 uncertificated registered preferred shares, par value RUB12.40 per share, for a total value of RUB270,995,155.2. The state registration number assigned to the share issue is 2-01-65084-D.
2. OAO "Udmurt Energy Retail Company"
- 167,566,476 uncertificated registered preferred shares, par value RUB0.31 per share, for a total value of RUB51,945,607.56. The state registration number assigned to the share issue is 1-01-65085-D.
- 21,854,448 uncertificated registered preferred shares, par value RUB0.31 per share, for a total value of RUB6,774,878.88. The state registration number assigned to the share issue is 2-01-65085-D.
3. OAO "Belgorod Retail Company"
- 886,916 uncertificated registered preferred shares, par value RUB10 per share, for a total value of RUB8,869,160. The state registration number assigned to the share issue is 1-01-65065.

6. OAO "Chelyabinsk Generation Company"

7. OAO "Smolensk Generation Company":

- 43,322,526 uncertificated registered preferred shares, par value RUB0.75 per share, for a total value of RUB32,491,894.5. The state registration number assigned to the share issue is 2-01-50105-?.
8. OAO "Lipetsk Energy Retail Company"
- 155,521,950 uncertificated registered preferred shares, par value RUB0.22 per share, for a total value of RUB34,214,829. The state registration number assigned to the share issue is 1-01-65097-D.
The above companies completed their state registration on 1 January 2005, 1 October 2004, 11 January 2005, 31 January 2005, 1 February 2005, respectively. The companies' share issues were registered with the FSFM of Russia on 1 March 2005, 5 November 2004, 4 March 2005, 29 March 2005, 31 March 2005, and 19 April 2005.
Information for the attention of stock market participants:
Shares in the spin-off companies were distributed among the existing shareholders of the company reorganized through spin-off.
Shareholders in the reorganized regional energo received, for each share of the relevant category (class) held by them, shares of the same category (class) in each of the newly established companies, at the ratio determined in the resolution on the reorganization of the regional energo concerned.
The date on which the shares in the spin-off companies are placed is the date of state registration of the companies established as a result of regional energos' reorganization. The new shares are to be credited to the securityholder accounts with registrars and to the securities safekeeping accounts with securities depositories in accordance with the records in the share register of the regional energo as at such date.
The new shares are to be credited to the securityholder accounts by the Registrar maintaining the share registers of the newly established companies.
