Moscow. 22 June 2005. The Federal Service for Financial Markets (FSFM) of Russia registered on 21 June 2005 the share issues of the companies spun off from OAO "Permenergo" and OAO "Oryolenergo".
The FSFM registered the share issues and share placement reports of OAO "Perm Energy Management Company", OAO "Perm Generation Company", OAO "Yaivinskaya TPP", OAO "Perm Energy Retail Company", OAO "Permenergoremont", OAO "Permenergospetsremont" and OAO "Oryol Retail Company".
According to the Resolutions on share issuance and share placement reports, the following amounts of shares were issued:
1. OAO "Perm Energy Management Company":
- 36,210,960 uncertificated registered preferred shares, par value RUB0.05 per share, for a total value of RUB1,810,548. The state registration number assigned to the share issue is 1-01-65121-D.
- 11,353,500 uncertificated registered preferred shares, par value RUB0.05 per share, for a total value of RUB567,675. The state registration number assigned to the share issue is 2-01-65121-D.
2. OAO "Perm Generation Company":
- 36,210,960 uncertificated registered ordinary shares, par value RUB100 per share, for a total value of RUB3,621,096,000. The state registration number assigned to the share issue is 1-01-50127-A.
- 11,353,500 uncertificated registered ordinary shares, par value RUB100 per share, for a total value of RUB1,135,350,000. The state registration number assigned to the share issue is 2-01-50127-A.
3. OAO "Yaivinskaya TPP":
- 36,210,960 uncertificated registered preferred shares, par value RUB11 per share, for a total value of RUB398,320,560. The state registration number assigned to the share issue is 1-01-55085-E;
- 11,353,500 uncertificated registered preferred shares, par value RUB11 per share, for a total value of RUB124,888,500. The state registration number assigned to the share issue is 2-01-55085-E.
4. OAO "Perm Energy Retail Company":
- 36,210,960 uncertificated registered preferred shares, par value RUB3.25 per share, for a total value of RUB117,685,620. The state registration number assigned to the share issue is 11-01-55084-E;
- 11,353,500 uncertificated registered preferred shares, par value RUB3.25 per share, for a total value of RUB36,898,875. The state registration number assigned to the share issue is 2-01-55084-E.
5. OAO "Permenergoremont":
- 36,210,960 uncertificated registered preferred shares, par value RUB1.5 per share, for a total value of RUB54,316,440. The state registration number assigned to the share issue is 1-01-50125-A;
- 11,353,500 uncertificated registered preferred shares, par value RUB1.5 per share, for a total value of RUB17,030,250. The state registration number assigned to the share issue is 2-01-50125-A.
6. OAO "Permenergospetsremont":
- 36,210,960 uncertificated registered preferred shares, par value RUB2.70 per share, for a total value of RUB97,769,592. The state registration number assigned to the share issue is 1-01-65120-D;
- 11,353,500 uncertificated registered preferred shares, par value RUB2.70 per share, for a total value of RUB30,654,450. The state registration number assigned to the share issue is 2-01-65120-D.
7. OAO "Oryol Retail Company":
- 192,549,316 uncertificated registered preferred shares, par value RUB0.00055 per share, for a total value of RUB105,902.1238. The state registration number assigned to the share issue is 1-01-65122-D;
- 44,588,520 uncertificated registered preferred shares, par value RUB0.00055 per share, for a total value of RUB24,523.686. The state registration number assigned to the share issue is 2-01-65122-D.
The state registration of the new companies was effected on 1 April 2005.
The share registers of these companies are administered by OAO Moscow Central Depository.
Previously, the FSFM of Russia registered the share issues of the companies spun off from OAO "Kalugaenergo", OAO "Bryanskenergo", OAO "Belgorodenergo", OAO "Voronezhenergo", OAO "Chuvashenergo", OAO "Vladimirenergo", OAO "Marienergo", OAO "Penzaenergo", OAO "Udmurtenergo", OAO "Karelenergo", OAO "Ryazanenergo", OAO "Kostromaenergo", OAO "Ivenergo", OAO "Yarenergo", OAO "Rostovenergo", OAO "Tverenergo", OAO "Chelyabenergo", OAO "Mordovenergo", OAO "Kurskenergo", OAO "Nizhnovenergo", OAO "Smolenskenergo", OAO "Tambovenergo", OAO "Astrakhanenergo", OAO "Volgogradenergo", OAO "Lipetskenergo", OAO "Mosenergo", OAO "Tulenergo", OAO "Sverdlovenergo", OAO "Novgorodenergo", OAO "Stavropolenergo", and OAO "Oryolenergo".
Information for the attention of stock market participants:
Shares in the spin-off companies were distributed among the existing shareholders of the company reorganized through spin-off.
Shareholders in the reorganized regional energo are entitled to receive, for each share of the relevant category (type) held by them, shares of the same category (class) in each of the newly established companies, at a ratio determined in the resolution on the reorganization.
The date on which the shares in the spin-off companies are placed is the date of state registration of the companies established as a result of regional energos' reorganization. The new shares are to be credited to the securityholder accounts with registrars and to the securities safekeeping accounts with securities depositories in accordance with the records in the share register of the regional energo as at such date.
The new shares are to be credited to the securityholder accounts by the Registrar maintaining the share registers of the newly established companies.
