Moscow, 21 April 2005. On 20 April 2005, OAO "Territorial Generation Company No. 4" (OAO "TGC-4") completed its state registration with the Inspectorate of the Federal Tax Service of Russia for the city of Tambov.

Gennady Kochetkov (currently CEO of OAO "Tulenergo", OAO "Priokskaya Territorial Generation Company", OAO "Tula Energy Management Company", OAO "Tula Retail Company", OAO "Lipetsk Generation Company", and OAO "Tambov Generation Company") has been elected to serve as Director General of the newly established company.

The following persons were appointed to the Board of Directors of OAO "TGC-4": Gennady Kochetkov; Vladimir Kimerin, Deputy Managing Director, Business Unit No. 1, RAO "UES of Russia"; Alexander Negomedzyanov, Deputy Managing Director, Business Unit No. 1, RAO "UES of Russia"; Larisa Shiryaeva, Chief of Market Department, Reform Management Center, RAO "UES of Russia"; Vadim Galka, Head of HR Management Department of the Corporate Center, RAO "UES of Russia"; Dmitry Shtykov, Director General, General Director, Professional Directors Institute Foundation; Oleg Dubnov, First Deputy Director General, Professional Directors Institute Foundation; Maxim Eremeev, Alexander Orlov, Olga Parkhomuk, and Vladimir Flegontov, Advisors with Professional Directors Institute Foundation.

The procedure for the formation of TGC-4, which provides for the establishment, at the first stage, of OAO "TGC-4" as an operating company using leased assts, and subsequent merger of the regional generation companies with and into OAO "TGC-4" at the final stage, was approved by the Board of Directors of RAO "UES of Russia" at the meeting held 25 February 2005.

As at the time of establishment, the charter capital of OAO "TGC-4" was RUB10 million and was divided into 1 billion ordinary shares.

The Board of Directors of RAO "UES of Russia" approved the lease of assets by OAO "TGC-4" from OAO "Heat Energy Company", OAO "Bryansk Generation Company", OAO "Voronezh Generation Company", OAO "Kaluga Generation Company", OAO "Kursk Generation Company", OAO "Lipetsk Generation Company", OAO "Oryol Generation Company", OAO "Ryazan Heat Supply Company", OAO "Smolensk Generation Company", OAO "Tambov Generation Company", OAO "Priokskaya Territorial Generation Company".

In accordance with the schedule for the establishment of TGC-4, the Company starts operations in July 2005, with the process to be completed in the third quarter of 2006.

OAO "TGC-4" is under the charge of Business Unit No. 1 of RAO "UES of Russia" headed by Mikhail Abyzov, member of the Management Board and Managing Director of OAO RAO "UES of Russia".
