Moscow, 4 April 2008. On March 28, 2008 the meeting of the Management Board of RAO UES of Russia performing the functions of the general meeting of shareholders of Sochinskaya TES was held. The Management Board approved the new Charter of Sochinskaya TES, which is designed to rename Sochinskaya TES into OJSC INTER RAO UES. Besides, the members of the Management Board terminated the authority of the former Board of Directors of the Company and elected the new Board members, including:

- Akhanov Dmitry Sergeevich – Head of the Federal Energy Agency (Rosenergo);

- Voloshin Alexander Stalievich – Chairman of the Board of Directors of RAO UES of Russia;

- Dementiev Andrei Vladimirovich – Deputy Minister of Industry and Energy of the Russian Federation;

- Dmitriev Vladimir Alexandrovich – Chairman of the State Corporation “Bank for Development and Foreign Economic Affairs (Vnesheconombank)”;

- Dod Evgeniy Vyacheslavovich – Director General of JSC INTER RAO UES;

- Kiriyenko Sergey Vladilenovich – Director General of the State Nuclear Power Corporation Rosatom;

- Klepach Andrei Nikolaevich – Deputy Minister of Economic Development and Trade of the Russian Federation;

- Rappoport Andrei Natanovich – Member of the Management Board, Managing Director of RAO UES of Russia (Business Unit “Grids”);

- Travin Vladimir Valentinovich – Director General of Atomenergoprom;

- Khristenko Viktor Borisovich – Minister of Industry and Energy of the Russian Federation;

- Sharonov Andrei Vladimirovich – Managing Director of Troika Dialog Group.

Director General of JSC INTER RAO UES Evgeny Dod was elected Chairman of the Management Board of OJSC INTER RAO UES (Sochinskaya TES). 

During the final stage of the reorganization of RAO UES of Russia Sochinskaya TES will be reorganized in the form of a merger with INTER RAO UES Holding, JSC INTER RAO UES, Severo-Zapadnaya TETs, Ivanovskiye PGU, and Kaliningradskaya TETs-2. As a result, an integrated operating company based on Sochinskaya TES assets will be created. The shareholders of RAO UES of Russia and other merging companies will receive direct stakes in this operating company, with the Russian Federation having a controlling stake.  

The reorganization will involve two stages: by May 1, 2008 JSC INTER RAO UES, Severo-Zapadnaya TETs, Ivanovskiye PGU, and Kaliningradskaya TETs-2 will be reorganized in the form of a takeover by Sochinskaya TES; the takeover of INTER RAO UES Holding spun-off from RAO UES of Russia by Sochinskaya TES is scheduled for June 2008. During the reorganization procedure Sochinskaya TES will be renamed OJSC INTER RAO UES.
