“Territorial generating company No. 9” is reorganized in the form of affiliation of “Komi regional generating company”.
On January 30th Federal service of financial markets registered the additional emission and the offering circular of nominal undocumentary equities of “Territorial generating company No. 9” that are placed by conversion at affiliation of “Komi RGC”.
According to the decisions of emissions of stocks of TGC-9 they place:
- 865 833 353 028 (eight hundred sixty five billion eight hundred thirty three million three hundred fifty three thousand twenty eight) pieces of stocks with principal value of 0,003 RUR, total volume of the emission is 2 597 500 059,08 (two billion five hundred ninety seven million five hundred thousand fifty nine RUR eight copecks). The issue has got the state registration number 1-01-56741-D-005D;
- 3 806 000 000 (three billion eight hundred and six million) pieces of stocks with principal value of 0,003 RUR, total volume of the emission is 11 418 000 (eleven million four hundred eighteen thousand) RUR. The issue has got the state registration number 1-01-56741-D-006D;
On February 1st TGC-9 received from the Inspection of the Federal Tax Service Certificates of inclusion in the Integrated public register of legal persons (IPRLP) of information about reorganization of the company in the form of affiliation, about registration of alterations, made in the constituent documents of the company. In the Charter of TGC-9 they included additional information about the fact that on the ground of the resolution of a special stockholders meeting of “Territorial generating company No. 9” from November 20th, 2006 the Company was reorganized in the form of affiliation to it of “Komi regional generating company”.
Alterations in the Charter also determine that TGC-9 is a legal successor of “Komi regional generating company” concerning all rights and obligations, concerning all creditors and debtors since affiliation.
On February 1st, 2007 they also included in IPRLP information of cessation of activity of “Komi RGC”.
