A Board of Directors’ meeting has commenced at Gazprom’s Headquarters.

The Board resolved to convene the Annual General Shareholders’ Meeting of Gazprom on 30 June 2006 in Moscow.

The list of persons and legal entities entitled to take part in the Shareholders’ Meeting will be drawn up based on Gazprom’s Register of Shareholders to be filed up by the end of the 12 May 2006 business day.

The Board also approved a list of Nominees for Gazprom’s Board of Directors and Auditing Commission, to be voted for at the Shareholders’ Meeting.

The issues included by the Board in the Shareholders’ Meeting Agenda are as follows: approving the Annual Report and Financial Statements (Profit & Loss Statements inclusive); allocating profit arisen over 2005; agreeing on the amount, timing and method of dividend allocation; electing the Board of Directors and Auditing Commission Members; approving Gazprom’s auditor; making amendments and additions into the Articles of Association; deciding on the Board and Auditing Commission Members’ remuneration.
