In pursuance of resolutions of extraordinary General Meetings of shareholders of Public JSC «Saratov Territorial Generation Company» (Minutes No. 2007-1?-Sar), Public JSC «Samara Territorial Generation Company» (Minutes No. 2007-1?-Sam) and Public JSC «Ulyanovsk Territorial Generation Company» (Minutes ?2007-1?-Ul) (hereinafter – regional TGCs) on reorganization of the abovementioned companies in form of their incorporation into the Public JSC «Volga TGC», we hereby inform you of the fact that on the 1st of June, state registration authority made relevant entries of termination of operations of the incorporated Companies into the Unified State Register of Legal Entities. Disclosure of information on the reorganization was made in accordance with applicable Russian legislation.

Therefore, on the 1st of June 2007, formation of configuration of the Public JSC «Volga TGC» was completely finalized, and the shares of regional TGCs were converted into shares of the Public JSC «Volga TGC».

In connection with the above, starting from the end of day of May 31, 2007, all operations in the register keeping systems of the regional TGCs shall be suspended. Circulation of shares of the Public JSC «Volga TGC» resulted from conversion of shares of Public JSC «Saratov Territorial Generation Company», Public JSC «Samara Territorial Generation Company» and Public JSC «Ulyanovsk Territorial Generation Company», shall resume upon registration of Reports on the results of issue of additional shares of Public JSC «Volga TGC» by Federal Financial Markets Service in late June – early July of 2007.
