OJSC Elektrosvyaz Vladimir Region held its Annual General Shareholders Meeting on June 14, 2002.  The agenda of the meeting included the following items: 

1.  Approval of the annual financial statement, the accounting reports, including the profit and loss statement, allocation of profits and losses on results of the 2001 fiscal year.

2.       Fixing the amounts of dividends payable for 2001, the procedure and deadline for payment on each category of shares.

3.       Appointment of members of the Board of Directors of the company;

4.       Appointment of members of the Audit Committee of the company;

5.       Appointment of the director general of the company;

6.       Approval of the revised version of the Company Charter;

7.       Approval of the revised Rules for Holding Annual General Shareholders Meetings of the company;

8.       Approval of the revised Rules for Board of Directors of the company;

9.       Approval of the revised Rules for Supervisory Board of the company;

10.   Approval of the company's official 2002 auditor; 

The AGM approved the 2001 dividends to be paid out as follows:  Rub 0.164278 per preferred share and Rub 0.054759 common share.

The following appointments were made to the Board of Directors:

-          Stanislav N. Panchenko - vice director general of OJSC Svyazinvest;

-          Alexander I. Polnikov - executive director of OJSC Svyazinvest;

-          Anatoly N. Korovin - general director of OJSC Elektrosvyaz, Vladimir Region;

-          Lyudmila I. Devyatkina - vice head of Department / head of capital investment department of Svyazinvest;

-          Evgeny N. Poyarkov - vice head of security department of Svyazinvest;

-          Vladimir V. Dudchenko - consultant of Pruett Enterprises Ltd.

-          Elena E. Lankova - head of Economics and Finance department of TsenterTelecom. 

Anatoly N. Korovin was appointed director general of OJSC Elektrosvyaz Vladimir Region.

Members of the Audit Committee were appointed. 

The following documents were approved:  

- the revised version of the Company Charter;

- the revised Rules for Holding Annual General Shareholders Meetings of the company;

- the revised Rules for Board of Directors of the company;

- the revised Rules for Supervisory Board of the company;

- OOO Top Audit was appointed as the company's official 2002 auditor; 

Immediately following the annual general shareholders meeting the first meeting of the new Board of Directors was held at which Stanislav N. Panchenko was appointed as chairman of the Board of Directors, Anatoly N. Korovin was appointed vice chairman of the Board of Directors and Alexander I. Veselov, Secretary of the Board of Directors, was appointed assistant general director of OJSC Elektrosvyaz Vladimir Region.  The composition of the Supervisory Board of the Company was also approved as follows:  

-          Anatoly N. Korovin - director general of OJSC Elektrosvyaz Vladimir Region;

-          Anatoly E. Brekhov - first vice general director;

-          Liudimil V. Golovanova - vice director general for economic issues;

-          Valery S. Didenko - vice director general for investments;

-          Iraida G. Solodyankina - chief accountant of OJSC Elektrosvyaz Vladimir Region;

-          Gennady A. Andreev - head of TTS - branch of OJSC Elektrosvyaz Vladimir Region;

-          Alexander K. Akimov - head of Vladimir GTS - branch of OJSC Elektrosvyaz Vladimir Region;

-          Alexander I. Zakharko - head of Muromsk branch of OJSC Elektrosvyaz Vladimir Region;

-          Viktor M. Kozlov - head of Kovrovsk branch of OJSC Elektrosvyaz Vladimir Region;
