Public Joint Stock Company "Southern Telecommunications Company" informs that to improve its production and financial activity the Company undertook the measures on restructuring its secondary activities and optimizing the number of employees on pay-roll and approved the resolution on "UTK" PJSC's participation in establishing the limited company "Yug-Giprosvyaz". (Resolution of the Company's Board of Directors ? 17 of 24.12.2002).

Founders of the limited company "Yug-Giprosvyaz" are:

• Open Joint Stock Company "GIPROSVYAZ" with 51%- share in capital.
• Non-commercial partnership "Research center on problems of telecommunications development" with 25%-share in capital
• Public Joint Stock Company "Southern Telecommunications Company" with 24%-share in capital.

"Yug-Giprosvyaz" Ltd. Seat and postal address: 67, Gagarin Str., Krasnodar 350 062. Certificate on state registration ? 002377441 series 23 of 15 January 2003. Its activity is aimed at satisfying the needs of physical and juridical persons in design of communication facilities.

"Yug-Giprosvyaz" Ltd. will coordinate the work of "UTK" PJSC branches' design departments aimed at development and modernization of telecommunications of the Southern Federal District on the basis of unified technical policy.

Main activities:

• design engineering
• technical design (communication buildings and facilities including backbone engineering networks).
• Working out design estimates and other documents.
• Participation in research and development works
• Share holding in building, reconstruction, equipping and operation of communication facilities
• Other activities not contradicting imperative legal regulations of the Russian Federation.
