OJSC North-West Telecom Extraordinary General Shareholders Meeting took place on February 14, 2003, and was held in the form of personal attendance.  

The shareholders that participated in the meeting hold a total of 654,704,106 votes, which equals 88.96% of the total number of OJSC North-West Telecom voting shares. Voting results represent the number of ballots considered to be valid.

The following issues were on the agenda of the Meeting:

1.         Early termination of powers of the Company’s Board of Directors, election of a new Board of Directors;

2.         Early termination of power of the Company’s General Director, appointment of Company’s General Director and definition of his contact period;

3.         Early termination of the Company’s Auditing Commission powers, election of the Company’s Auditing Commission;

4.         Approval of the new wording of the Company’s Charter;

5.         Approval of the new wording of provisions for the Company’s General Shareholders Meeting;

6.         Approval of the new wording of provisions for the Company’s Board of Directors;

7.         Approval of the new wording of provisions for the Company’s Managing Board;

8.         Remuneration and compensation to the members of the Board of Directors;

9.         Remuneration and compensation to the Auditing Commission members.

OJSC North-West Telecom Extraordinary General Shareholders Meeting made the following decisions:

1.         To elect the following candidates to the Company’s Board of Directors:

·           Vadim Evgenievich Belov;

·           Yury Alexandrovich Bibilin;

·           Benjamin Stefan David Vilkening;

·           Alexander Alexandrovich Gogol;

·           Alexander Viacheslavovich Ikonnikov;

·           Dmitry Vladimirovich Levkovsky;

·           Irina Mihailovna Ragozina;

·           Ivan Ivanovich Rodionov;

·           Sergey Vladimirovich Soldatenkov;

·           Alexander Abramovich Sysoev;

·           Valery Nikolaevich Yashin.

2.         To appoint Alexander Abramovich Sysoev to the position of OJSC North-West Telecom General Director for a two-year term.

3.         To appoint the following individuals to the Company’s Auditing Commission.

·           Konstantin Vladimirovich Belyaev;

·           Lyubov Alexandrovna Greseva;

·           Elena Alexandrovna Kukina;

·           Andrey Yakovlevich Lang;

·           Maria Leonidovna Pravdina;

·           Irina Viktorovna Prokofieva;

·           Natalia Vladimirovna Fedorova.

4.         Shareholders have not approved the new wording of the Company’s Charter. The document is to be revised and then put on the agenda of the Annual General Shareholders Meeting, which is to take place in June 2003.

5.         Shareholders have approved the new wording of provisions for the Company’s General Shareholders Meeting, the Board of Directors and the Managing Board. .

Alexander Sysoev, a new General Director of North-West Telecom, expressed his gratitude to the shareholders for their trust and support and promised to put all his efforts to achieve goals set by the Company’s shareholders.
