Moscow, 29 March 2006. The Federal Service for Financial Markets (FSFM) of Russia on 28 March 2006 registered the prospectus of OAO "Omsk Energy Retail Company" spun off from OAO "Omskenergo". The shares in OAO "Omsk Energy Retail Company" had been distributed among the shareholders of the company reorganized through spin-off (i.e. Omskenergo).

OAO "Omsk Energy Retail Company":

• 3,519,330 uncertificated registered ordinary shares, par value RUB32.8 per share, for a total value of RUB115,434,024. The state registration number assigned to the share issue is 1-01-55101-?;
• 817,800 uncertificated registered preferred shares, par value RUB32.8 per share, for a total value of RUB26,823,840. The state registration number assigned to the share issue is 2-01-55101-?.
