Moscow, 26 August 2005. Today, OAO "Territorial Generation Company No. 11" (OAO "TGC-11") was registered with the Inspectorate of the Federal Tax Service of Russia for Tsentralny District, city of Novosibirsk.

Sergey Kozhemyako, currently CEO of OAO "Tomskenergo" and OAO "Omsk Electricity Generation Company" (spin-off of OAO "Omskenergo"), has been elected the Director General of OAO "TGC-11".

Besides Sergey Kozhemyako, the following persons were elected to the Board of Directors of OAO "TGC-11": Vasily Nikonov, Deputy Managing Director of Business Unit 2, RAO "UES of Russia"; Elena Ulanovskaya, Head of the Corporate Governance Department of Business Unit 2, RAO "UES of Russia"; Yury Zhelyabovsky, Head of the Economic Planning and Financial Control Department of Business Unit 2, RAO "UES of Russia"; Maxim Zavalko, Deputy Head of the Corporate Governance and Shareholder Relations Department of the Corporate Centre, RAO "UES of Russia"; Vasily Zubakin, member of the Management Board, Head of the Department for Support of Reform Processes of the Reform Management Centre, RAO "UES of Russia"; Alexander Shumilov, Deputy Director of the Energy Complex Strategy Department, OAO "Siberian Coal Energy Company" (SUEK); Alexander Moldon, member of the Board of Directors, ZAO "Energy Service Company"; and Maxim Eremeyev, Yury Nekipelov, and Dmitry ?uzov, advisers at the Institute of Professional Directors Foundation.

The resolution to establish OAO "TGC-11" as a wholly-owned subsidiary of OAO RAO "UES of Russia" was approved by the Board of Directors of RAO "UES of Russia" on 1 July 2005. OAO "TGC-11" is to be established on the basis of the generating assets of OAO "Tomskenergo" and OAO "Omskenergo".

The authorized capital of OAO "TGC-11", at the time of establishment, is RUB10 million and consists of 1 billion ordinary shares of RUB0.01 par value.
