Moscow, 3 April 2006. OAO "WGC-5" has received from the Inspectorate of the Federal Tax Service for the Leninsky District, Yekaterinburg, certificates of entry of records in the Unified State Register of Legal Persons regarding the removal of OAO "Konakovskaya TPP" and OAO "Nevinnomysskaya TPP" from the Register and registration of the relevant amendments to the Charter of OAO "WGC-5". Thus, OAO "WGC-5" completed its reorganization through merger of OAO "Konakovskaya TPP" and OAO "Nevinnomysskaya TPP" with and into WGC-5".

OAO "WGC-5" is the first generation company of the wholesale electricity market to have fully completed the legal process of consolidation of its production assets and achieved the target corporate structure.

In January 2006, the joint shareholder meeting of OAO "WGC-5", OAO "Konakovskaya TPP", and OAO "Nevinnomysskaya TPP" approved the resolutions required to merge those companies with and into OAO "WGC-5". The resolutions were backed by the companies' minority shareholders. Today, RAO "UES of Russia" holds a 87.7% stake in OAO "WGC-5", and the minority shareholders hold the remaining 12.3%.

WGC-5, which now consists of four production branches (Konakovskaya TPP, Nevinnomysskaya TPP, Reftinskaya TPP, and Sredneuralskaya TPP). submits price offers to NP "Administrator of Trading System" (NP "ATS") to participate in trading in the free market segment as an independent market participant.
