Moscow, 12 May 2006. The Federal Service for Financial Markets of Russia (FSFM) registered four additional issues of ordinary shares of OAO "TGC-8"* to be exchanged for shares in the regional generation companies (OAO "Astrakhan Regional Generation Company", OAO "Dagestan Heat Generation Company", OAO "Rostov Generation Company", OAO "Stavropol Heat Generation Company", and OAO "Volzhskaya Generation Company") merging with and into OAO "TGC-8". According to the resolutions authorizing the share issuance, the following amounts of TGC-8 shares are to be issued:

• 239,647,669,135 shares, par value RUB0.01 per share, for a total value of RUB2,396,476,691.35. The state registration number assigned to the share issue is 1-01-34308-?-001D;
• 30,041,011,704 shares, par value RUB0.01 per share, for a total value of RUB300,410,117.04. The state registration number assigned to the share issue is 1-01-34308-?-002D;
• 247,629,130,530 shares, par value RUB0.01 per share, for a total value of RUB2,476,291,305.3. The state registration number assigned to the share issue is 1-01-34308-?-003D;
• 503,350,038,863 shares, par value RUB0.01 per share, for a total value of RUB5,033,500,388.63. The state registration number assigned to the share issue is 1-01-34308-?-004D;
• 63,083,745,573 shares, par value RUB0.01 per share, for a total value of RUB630,837,455.73. The state registration number assigned to the share issue is 1-01-34308-?-005D;
• 1,474,730,444 shares, par value RUB0.01 per share, for a total value of RUB14,747,304.44. The state registration number assigned to the share issue is 1-01-34308-?-006D;
• 5,613,812,214 shares, par value RUB0.01 per share, for a total value of RUB56,138,122.14. The state registration number assigned to the share issue is 1-01-34308-?-007D;
• 109,159,861,537 shares, par value RUB0.01 per share, for a total value of RUB1,091,598,615.37. The state registration number assigned to the share issue is 1-01-34308-?-008D;

The resolution to increase the authorized capital of OAO "TGC-8" was taken on 28 October 2005 by the Board of Directors of RAO "UES of Russia" and the shareholder meeting of OAO "TGC-8" held 30 December 2005.

The target model for TGC-8 provides that that TGC-8 is to be reorganized through merger of OAO "Astrakhan Regional Generation Company", OAO "Volzhskaya Regional Generation Company", OAO "Rostov Generation Company", OAO "Dagestan Heat Generation Company", OAO "Stavropol Heat Generation Company", and, later on, OAO "Kuban Generation Company", which is expected to spin off from OAO "Kubanenergo" on 1 July 2006.
