Moscow, 6 May 2006. OAO "TGC-6" has completed the swap of its additional shares for shares in the regional generation companies (RGCs) that make up its configuration, and OAO "Mordovian Heating Network Company", thus completing the process of TGC-6 establishment.

As a result of the share swap, OAO "TGC-6" acquired 84.2% shares in OAO "Mordovian Generation Company", 84.21% shares in OAO "Mordovian Heating Network Company", 93.99% in OAO "Vladimir Generation Company", 66.91% shares in OAO "Nizhny Novgorod Generation Company", 85.05% shares in OAO "Ivanovo Generation Company", and 93.55% shares in OAO "Penza Generation Company".

After the Federal Service for Financial Markets of Russia registers the placement report for the additional share issue, the authorized capital of OAO "TGC-6" will increase to RUB10.473 billion from RUB10 million. RAO "UES of Russia" will control a 61.85% stake in OAO "TGC-6", large minority shareholders will collectively hold 33.42%, and the other shareholders will own 4.73% shares.

TGC-6 flotation is scheduled for Q3 2006.

OAO "TGC-6" was registered with the Inspectorate of the Federal Tax Service of Russia for Kanavinsky District, the city of Nizhny Novgorod on 27 April 2005. Director General of OAO "TGC-6" is Vladimir Privalov.
