Moscow. 7 June 2006. The Federal Service for Financial Markets of Russia (FSFM) on 6 June registered the report on placement of additional ordinary shares in OAO "TGC-9". The new shares had been exchanged for shares in the regional generation companies, OAO "Sverdlovsk Generation Company", OAO "Perm Generation Company", that merged with and into OAO "TGC-9". According to the resolutions authorizing the share issuance, the following amounts of TGC-9 shares were issued:
- 460,273,614,240 shares, par value RUB0.003 per share, for a total value of RUB1,380,820,842.72. The state registration number assigned to the share issue is 1-01-56741-D-004D;
- 1,508,919,041,230 shares, par value RUB0.003 per share, for a total value of RUB4,526,757,123.69. The state registration number assigned to the share issue is 1-01-56741-D-001D;
- 2,220,637,122,000 shares, par value RUB0.003 per share, for a total value of RUB6,661,911,336. The state registration number assigned to the share issue is 1-01-56741-D-002D;
- 637,067,592,000 shares, par value RUB0.003 per share, for a total value of RUB1,911,202,776. The state registration number assigned to the share issue is 1-01-56741-D-003D.
On 1 May 2006, OAO "TGC-9" completed the first stage of the process to establish the target corporate structure of the company, i.e. the merger of OAO "Sverdlovsk Generation Company" and OAO "Perm Generation Company" with and into OAO "TGC-9". On the same day, shares of the merged regional generation companies were converted into shares in OAO "TGC-9". The target corporate structure of OAO "TGC-9" also provides for the merger with OAO "TGC-9" of OAO "Komi Regional Generation Company", which is scheduled to spin off from OAO "Komienergo" for 1 July 2006.
Work is currently underway to ensure that TGC-9 shares are floated on the stock market in Q3 2006.

* OAO "TGC-9" was registered on 9 December 2004 with the Inspectorate of the Ministry for Taxes and Levies of Russia for the Sverdlovsky District, city of Perm. The Director General of OAO "TGC-9" is Valery Rodin. The company has been operating since 1 April 2005.
