Uralkali’s Board of Directors took a number of decisions concerning the company’s management at a regular meeting on 9 July 2009.
The Board resolved to retain Dmitry Rybolovlev as the Chairman of the Board of Directors
Andrei Konogorov was appointed Deputy Chairman of the Board of Directors
Composition of the Board committees was determined as follows:
The Audit Committee: Hans Jochum Horn (Head of the Audit Committee), Yuri Gavrilov, Andrei Konogorov, Ilya Yuzhanov.
The Disclosure Committee: Mikhail Antonov (Head of the Disclosure Committee), Yuri Gavrilov, Vladimir Ruga.
The Human Resources and Remuneration Committee: Andrei Konogorov (Head of the HR and Remuneration Committee), Mikhail Antonov, Dmitry Rybolovlev, Ilya Yuzhanov.
Anatoly Lebedev will resign the post of President of Uralkali and Deputy Chairman of the Board of Directors from July 10, 2009. Anatoly Lebedev will focus on personal projects of Mr. Dmitry Rybolovlev. Anatoly Lebedev has been with Uralkali for over 7 years. He joined the company in 2002 as an Advisor on Legal Matters to the CEO of Uralkali, and later held the posts of Vice President for Legal Matters, Deputy Chairman of the Board of Directors, and President of Uralkali.
Chairman of the Board Dmitry Rybolovlev praised Mr. Lebedev’s strong performance and thanked him for his effective work at Uralkali.
The Board appointed Mikhail Antonov Acting President of Uralkali effective from July 13, 2009. Mr. Antonov joined the company in March 2008 as Vice President for Strategic Development. He oversaw relations with local and federal authorities, regulatory bodies and natural monopolies. Prior to joining Uralkali, Mr. Antonov held various executive posts in government and commerce.
Background:
Mikhail Antonov was born in 1966 in Moscow. In 1988, he graduated from the Lomonosov Moscow State University with a degree in economics. Upon graduation, Mr. Antonov worked at the Central Economics and Mathematics Institute of the Academy of Sciences of the USSR and the Market Economy Institute at the Russian Academy of Sciences. Mikhail Antonov holds a Ph.D. in economics. In 1995 Mr. Antonov was appointed lead economist of the Financial Analysis Unit of JSCB National Credit. In 1996 he joined the consulting company PACC and became its CEO in 2002. In April 2004 Mikhail was appointed Deputy Governor of the Perm Region. Initially responsible for the regional agro-industrial complex, he later oversaw the entire economic sector of the region. After the establishment of the Perm Territory in 2005, he became Deputy Head of Regional Government. In March 2008 Mr. Antonov was appointed Vice President for Strategic Development of Uralkali. In June 2009 he became a member of Uralkali’s Board of Directors.
