OJSC Svyazinform held its annual general shareholders meeting on June 11, 2002.
Shareholders approved the annual financial statement, the annual accounting reports, including the company's profit and loss statement, allocation of profits and losses on results of fiscal 2001. Dividends for 2001 common shares were fixed at Rub 3.5 and Rub 10.5 for preferred shares. Dividends are to paid out until August 10, 2002.
The following seven appointments were made to the Board of Directors:
- Vadim S. Degtyarev - Equity Fund Manager at Brunswick, head of CB J.P Morgan Bank International;
- Sergei L. Yelkin - director general of OJSC Svyazinform Samara Region;
- Oleg V. Kashirin - leading specialist of Corporate Governance of OJSC Svyazinvest;
- Oleg V. Kuzmin - director general of ZAO Absolut Invest, representative of Taft Enterprises Limited;
- Vladimir D. Lyulin - director general of OJSC Nizhegorodsvyazinform;
- Anton I. Osipchuk - first vice director general of OJSC Svyazinvest;
- Alexander I. Polnikov - executive director / head of capital investments department of OJSC Svyazinvest.
Following the AGM of OJSC Svyazinform Samara Region a meeting of the newly appointed Board of Directors of the company was held. Anton I. Ospichuk was elected chairman of the Board of Directors. Sergei L. Yelkin was appointed vice chairman of the Board of Directors.
The annual general shareholders meeting also appointed members of the Audit Committee, approved the new versions of the Company Charter, the Rules on the Procedure for Holding the Company's Annual General Shareholders Meeting, the Rules on the Board of Directors, and the Rules on the Supervisory Board.
ZAO MKD, St. Peterburg was appointed as the company's 2002 auditor.
The annual general shareholders meeting also passed a resolution to join ISKRA, the Association for Federal Telecom Service Operators.
