In compliance with the Resolution on additional issue of securities, approved by the Board of Directors of OJSC TGC-9 on July 9, 2007, the Company places 3 673 132 973 944 (three trillion six hundred seventy three billion one hundred thirty two million nine hundred seventy three thousand nine hundred forty four) shares with nominal value of 0,003 ruble per each. The increase of the authorized capital stock of OJSC TGC-9 through floatation of additional shares is performed in order to attract cash funds for TGC-9 in the volume up to 17 033 736 000 (seventeen billion thirty three million seven hundred thirty six thousand) rubles.

According to Articles 40, 41 of the Federal Law “About the Joint-Stock Companies” the shareholders of the Issuer have the preferential right to acquire the Shares in the amount, proportional to the amount of ordinary shares of the Issuer being in their ownership.

The list of persons having the preferential right for acquisition of TGC-9 shares was made as of April 17, 2007. The shareholders of OJSC TGC-9 could apply their preferential right for acquisition of securities of the Company within the period since August 29 till September 17.

The cost of placement of shares of OJSC TGC-9, including the cost of placement to the persons, included into the list of persons having the preferential right of acquisition, was determined by the Board of Directors of OJSC TGC-9 on December 10, 2007 in the amount of 0,00801 for one share. The shares should have been paid for by the persons applying the preferential right for their acquisition since December 11 till December 17, 2007.

As a result of execution of the preferential right of acquisition of OJSC TGC-9 shares there were placed 1 834 449 654 (one billion eight hundred thirty four million four hundred forty nine thousand six hundred fifty four) shares of the Company to the amount of 14 693 941,73 (fourteen million six hundred ninety three thousand nine hundred forty one) rubles 73 copecks. The part of actually placed shares as a result of execution of the preferential right made 0,05% in the total amount of securities subject to floatation.

Open Joint Stock Company “Territorial Generating Company ?9” was registered on December, 9 2004 and started operational activity on April, 1 2005.

The company includes 23 power stations, 35 boiler shops and 4 heat networks factories located at Perm Territory, Sverdlovsk Region and the Republic of Komi. The installed generating capacity of the company is 3280 MWt, heat capacity - 18952 Gk/h. The staff accounts over 11 thousand people. The General Director of OJSC “TGC-9” is Andrey Yu.Makarov.

The formation of target structure of the Company passed in two stages. On May,1 2006 OJSC TGC-9 was restructured through incorporation of OJSC Perm Generating Company and OJSC Sverdlovsk Generating Company. On February, 1 2007 OJSC “TGC-9” was reorganized by adjoining of OJSC Komi Regional Generating Company. OJSC “ Territorial Generating Company ? 9” has completed s restructuring process.

RAO UES share in OJSC “TGC-9” is over 50, 049%, IES-Holding owns about 30 % of the shares of the company.

The share capital of OJSC “TGC-9” is 17 093 693 607 RUR 64 copeck. Shares of OJSC “TGC-9” are allowed to be put up for auction at RTS from September, 15 2006, at MICEX from September, 22 2006.
